I've been wondering the same thing.

Functionality and form factor. I don't think that the image quality will be a lot different from a base F3 (without slog, 444 etc). Where the difference will be more in everything around the core functionality. When looking at the Spec of the F3 it has a lot of functionality like the 3d link for example. It might seem a simple thing but should you want to do 3d it is a huge function. If you take out a lot of those (small) functionality it has, Sony can differentiate a lot between those two cams.
Many indie might not see the need or even the differentiation because for them they just want to have a high quality camera with large sensor and I think this is the market this camera is aiming for (my market). For me this is the camera (if it has the same F3 sensor... image quality of the base sensor) because the rest of the functionality are not that important for me, if it makes the F3 level imagery available to me at an affordable cost.
This is the answer of Sony to the DSLR market (threat), small form factor, very good image quality (a real step-up in image quality) at a competitive price. This is what I think most of us have been waiting for.
It might seem very little difference
