My friend has upgraded to the latest FCP.He has offered me FC 2 at a great price.I am currently starting editing and using IMovie 08.Would this be an ok move to start learning FC,or would investing in something else be better. My usage is short 10min films maybe 1 minute spots.

I ran into this issue a while back when I upgraded and looked into selling my previous version. Your friend's license for the upgrade is based on the license of all previous installations. In other words, he cannot get rid of the previous version(s) and still, legally, be using the upgrade. Plus, what happens if you decide you want to upgrade? Well, the upgrade for the FCS2 license is already taken, so you still have to buy the full version of FCS3.

I still have all my Final Cut software in original boxes going back to FCP 3, which was the first version I bought.

Your best bet would be to go ahead and invest in the current version in full. That way, you're upgradable and completely legitimate.

CSV is exactly correct. The upgrade license for your friend to move to FCS3 is based on the license that he owns for FCS2.

He cannot sell that license and still retain FCS3.
