I've tried it on a XP home OS and it crashes all the time, which is too bad, because I can't see how the XP Pro OS with admin rights, etc... really makes a better OS especially given the abundance of XP home OS out there.
A few techs that install AVID for schools tell me AVID has a lower than average ability to operate in differing environs, i.e., motherboards, AMD processers, etc.... It's too bad because AVID is such a nice tool to use, in other words, it's picky.
XP Home is actually just a crippled XP Pro. M$ is to lazy to make the underlying architecture any different. Functionality has been removed (including dual processor support). Here is a link to the M$ comparison charts: http://www.microsoft.com/windowsxp/home/howtobuy/choosing2.mspx
The only reason I can think of for Avid to want Pro is for dual processor support.
Just my 2 cents (I'm a Linux man myself, my bias may show).

I'm using AMD 64 will this be a problem. I haven't installed it yet.
Seriously, you might go to the Avid Wedsite into their forums and do a search for AMD 64. I know I've read some stuff over there about it, but I can't recall if it was good or bad. For what it's worth I actually run Xpress Pro HD on an Athlon XP and it works great.
Gigabyte K7 Triton nForce 2. Great motherboard, and I've had nothing but stable performance on Avid. However, let me also add that when I replace this computer I plan on replacing it with 100% Avid certified hardware. I feel like I've been really luck with the performance I've recieved with my system. I've read and heard too many horror stories, so when I can afford it I'd rather Avid Certification had my back.
