Premier Pro cs3, HVX200 video is transparent, bad color---why?

I'm using Mattenee in Premier Pro. Shot in 720p with Reflecmedia.
Not used to Premier Pro. After activating Mattenee, video 2 becomes transparent over Video 1, even if setting is 100% for v2.

Also, darks really lose their color unless the V2 is over a dark V1 area then the background image fills in the color. This is a transparency issue or is it Mattenee or ??

Any help would be greatly appreciated!

I tryed matetenee time ago and didn't like it, I use Ultimatte's advantedge, for general gree/blue screen shots and Ultra for virtual sets.

I think those are the best.

don't know the answer but wondering . . . have you rendered it out to view on something that you will be viewing the final project (as opposed to what it looks like on your computer in the timeline)?
