I do not know how to do a PAL to NTSC conversion in a computer. I use a stand-alone signal converter, very expensive but rock solid, and could do it for you, for a small charge.
Import it into a Vegas 24P NTSC project, set the playback rate at 96% and the video quality to "best". It should render out a frame-for-frame conversion to NTSC, although I don't know if it's the "best" way to do it. And you'll need to convert your audio as well.
If using FCP, Graeme Nattress' "Standards Conversion" does a great job for a reasonable price. Availbale at www.nattress.com, may great reviews, mine included, on 2-pop
cheers
