converting sound from 29.97 to 23.98

I have video file that was transferred from film at 23.98, but the sound track is part of a 480i video that is 29.97. How do I convert the audio to 23.98?

Audio does not rely on a frame rate, only bit depth and sample rate (such as 16-bit/48kHz). If the audio is separated from the video, there shouldn't be a problem.
