Q. How do you get down from an elephant?
A. You don't, you get down from a duck!
Same thing with MP4 to MP2. You go through an intermediate step where MP4 is first uncompressed and then compressed into MP2.
The big problem is both formats are lossy and use a different compression algorithm. An uncompressed MP4 will likely have some artifacting when recompressed again into MP2.
