Dissolves on top layer affected by cropping of bottom layer

Hi,

I find this incredibly frustrating.

I had a white background shoot. The corners of the frame were not 100% blown so I cropped my frame and put white matte in the bottom layer. Everything looks perfect until I have to put slides, or even texts, on top of my video layer and white matte layer, and fade them. Once the opacity of the slide layer is less than 100% you can see through the cropping of the video layer, the black is showing through the white matte layer.

I tried putting another white matte layer underneath - doesn't work.
I tried exporting the white matte layer and the video layer, re-import it as one layer - doesn't work.
I tried putting a cropped white matter ON TOP of the video layer, but beneath the slide/texts - doesn't work
I tried using a white png file instead of the Premiere made matte - doesn't work.
Manually playing with the opacity instead of using the dissolves effects doesn't work either.

What gives? Why should what the bottom layers are made out of affect how the top layer fades in and out?

Premiere CS 5.5, Mac 10.6.5

Thanks
