could someone read this:

Beat Takeshi

Two-Hip Shakur
and tell me what it means exactly. I think it means they can control the project for 6 months exclusively and after 6 months they can keep others from taking the project for as long as they want.

3. RIGHT OF FIRST NEGOTIATION/LAST REFUSAL: You grant to
WNBC and to NBCU a right of first negotiation to acquire all rights in the Submission.
This right of first negotiation shall be exclusive to WNBC and NBCU for six months
following WNBC’s receipt of the Submission. Following the expiration of the six (6)
month exclusive negotiation period, should you enter into negotiations with a third party
to acquire rights to the Submission, you also grant WNBC and NBCU a right of last
refusal to acquire any rights in the Submission. You will give WNBC written notice
detailing the proposed terms of any third party offer. WNBC and NBCU shall have thirty
(30) days to acquire whatever rights for which the third party has made an offer during
which time you agree that you will not enter into any agreement with the other party or
any other party relating to the Submission. If we decline, you agree that you will only
enter into the third party agreement on the exact terms offered to and rejected by WNBC
or NBCU. Any changed elements or terms will result in a new right of last refusal. You
also agree that any third party offers must be bona fide.

From my eye and in simple terms.

Part 1/ WNBC and NBCU have six months exclusivity on acquiring the rights.

Part 2/ After six months it can be shopped to a third party with the limitation that once you receive a third party offer, this must be presented to WNBC and NBCU, and they then have rights to aquire under same conditions as the third party offer. If WNBC and NBCU refuse to take it under these terms then you can accept the third party offer.

There is a part 3/You can then proceed with the third party offer, BUT IF any small change is made to ANY of the conditions set out in the third party offer as originally presented to WNBC and NBCU, you then have to take it back to WNBC and NBCU and go through the process again.
