Here's the scenario - I had a scene, editing in FCP4,
that had an electric hum (from a bad mic wire) that ran throughout the room tone and also over a single line of dialogue
I took the clip into Bias Peak DV4, and, using the Apple
graphic EQ plug-in, managed to clean out all the hum
(it sounded near perfect)
I exported from BP4 and imported back into FCP and guess what?
the hum was still totally gone from the background, but had
'returned' over the dialogue (I AM SURE IT WAS TOTALLY clean
before I exported from Peak)
Any idea WHAT GIVES?

Try exporting the fixed dialogue from Peak as an .aiff file. Import that into FCP and replace the desired audio.
Sometimes the external editors don't work correctly.
